Client Agreement and Risk Acknowledgment

In compliance with applicable laws, the client voluntarily engages NiveshNeeti to provide research-based recommendations, acknowledging that this is undertaken entirely at their own risk and
subject to the terms and conditions outlined in the agreement.

The client confirms that they have thoroughly read and understood the terms and conditions governing the research recommendation services, including the fee structure and the process for fee payment.

It is expressly stated that the Research Analyst does not manage funds or securities on behalf of clients. Any monetary transactions made by the client are solely for availing the research services
provided by the Research Analyst.

Additionally, the Research Analyst does not provide any assured or guaranteed return services. The scope of services offered aligns strictly with the SEBI (Research Analysts) Regulations, 2014.

Investment Risks and Disclaimers

The client acknowledges and accepts the following investment risks:

  • Investments in equities, derivatives, mutual funds, and exchange-traded instruments are subject to market fluctuations, and there is no certainty that the investment strategy will achieve its intended objectives.
  • Past performance of the Research Analyst does not serve as an indicator of future results, and no guaranteed returns are being offered to investors.
  • Securities market investments carry inherent risks; investors should carefully review all relevant documents before making investment decisions.
  • Research recommendations may not always yield profits, as market movements may differ
    from anticipated trends.
  • The Research Analyst is not responsible for any financial losses incurred due to reliance on its research services.
  • SEBI registration and NISM certification do not imply any guarantee of performance or
    assurance of returns.
  • Investment in securities market are subject to market risks. Read all the related documents carefully before investing.
  • Please note that we do not guarantee any returns or assured profits on our
    recommendations.

Limitation of Liability

Except where required by law, the Research Analyst, its employees, or affiliates shall not be held liable for any losses incurred by the client, including but not limited to:

  • Any decline in asset value due to market fluctuations, underperformance, or non-
    performance of securities or funds.
  • Losses resulting from investment decisions based on research recommendations, provided these recommendations were made in good faith and with the level of care, diligence, and prudence expected from a professional in a similar fiduciary role.
  • The Research Analyst shall not be responsible for any delays, errors, or interruptions in service caused by factors beyond its control. These may include, but are not limited to:
    Actions of civil or military authorities
  • National emergencies
  • Strikes, work stoppages, or labor disruptions
  • Natural disasters such as fires, floods, or other catastrophes
  • Acts of God, war, riots, or insurrections
  • Failures in communication networks or power supply

Confidentiality and Compliance

  • All research reports and Website content are strictly confidential. Clients, employees, and associates are prohibited from sharing or distributing, copied for commercial or public purpose any research materials.
  • Employees and associates are strictly forbidden from accepting gifts from clients.
  • Fee payments should be made only to the official account listed on our website. Under no circumstances should payments be transferred to any individual account.
  • All payments made through this website are directly mapped to the bank account managed by Amit Kori.
  • Advisory service fees range from ₹499 to ₹1,49,999, depending on the nature, scope, and duration of the selected investment advisory plan, as disclosed upfront and charged in accordance with SEBI (Research Analyst) Regulations.
  • Advisory fees once paid are non-refundable, irrespective of market performance, personal investment decisions, or early discontinuation of the service.

Security Advisory

We do not operate, manage, or access any client’s Demat or trading accounts. Clients are advised not to disclose sensitive credentials such as User ID, passwords, security question answers, or OTPs to any of our employees. We will not be responsible for any unauthorized transactions resulting from such disclosures.

Legal Disclaimer and Terms of Service

The Research Analyst shall not be held liable for any legal action, prosecution, or claims arising from actions taken in good faith under the provisions of the Securities and Exchange Board of India
(Research Analysts) Regulations, 2014. Any damage, whether actual or potential, resulting from such
actions shall not be grounds for legal proceedings.

Dispute Resolution and Arbitration

Any disputes, disagreements, claims, or conflicts arising between the Client and the Research
Analyst, including their respective representatives, shall be resolved in accordance with the
provisions of The Arbitration and Conciliation Act, 1996, along with any amendments or re-enactments in effect at the time. All arbitration proceedings will take place in the state of
Maharashtra.

Policy Updates

Niveshneeti reserves the right to modify or update these terms and conditions as necessary, without prior notice to clients.
